Terms of Use

These Terms of Use ("Terms") govern your access to and use of STEMR, a collaborative audio feedback platform (the "Service"). By creating an account or using the Service, you agree to these Terms.

Eligibility

You must be at least 16 years old and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

Private beta

STEMR may be offered as a private or limited beta. During beta, the Service is provided as-is, may change without notice, and may have interruptions or data loss. Do not share your access credentials, invite links, or non-public features publicly unless we expressly permit it.

Your account

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for activity that occurs under your account.
  • You must provide accurate account information and keep it up to date.

Your content

You retain ownership of audio files, comments, and other material you upload or create ("User Content"). You grant STEMR a limited license to host, process, display, and transmit User Content solely to operate and improve the Service. You represent that you have the rights needed to upload and share User Content and that it does not infringe third-party rights.

Acceptable use

You agree not to:

  • Use the Service for unlawful, harassing, or abusive purposes.
  • Upload malware or attempt to disrupt, probe, or reverse engineer the Service.
  • Access another user's account or data without authorization.
  • Circumvent plan limits, billing, or access controls.
  • Scrape or resell the Service without our written permission.

Plans and payment

Paid plans, storage limits, and feature availability are described in the Service. Fees are billed as stated at checkout. Unless required by law, fees are non-refundable. We may change pricing or plan limits with reasonable notice.

Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ends, but sections that by nature should survive will remain in effect.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STEMR AND ITS OPERATORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) GBP £100.

Governing law

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. Courts in England and Wales will have exclusive jurisdiction, except where mandatory consumer protections in your country require otherwise.
